Terms of Service

Welcome to yundadesk. These Terms govern your access to the website, account registration, trials, subscriptions, product features and related support services. By accessing or using yundadesk, you confirm that you have read, understood and agreed to these Terms. If you use the services on behalf of a company or organization, you represent that you are authorized to bind that entity.

1. Account Terms

  • These Terms apply to the yundadesk website, web app, mobile or desktop clients, plugins, APIs, integrations, support services, demo booking, trials, subscriptions and future related services. The Privacy Policy, Cookie policy, payment rules, auto-renewal agreement, user conduct rules and supplemental notices form part of these Terms.
  • You must have legal capacity and provide true, accurate, complete and lawful registration, booking and billing information. If you use yundadesk for a company, store, team or other organization, you confirm that you are authorized to accept these Terms and manage accounts, members, channels, data and fees.
  • You are responsible for protecting accounts, passwords, verification codes, API keys, channel credentials, administrator permissions and payment information. Activity under your account is deemed authorized by you or your organization.
  • We reserve the right to verify user information, refuse registration, restrict abnormal accounts or request additional authentication materials. If you discover unauthorized access, abnormal permissions, expired channel authorization or data security risks, you must notify us promptly and cooperate with necessary remediation.

2. Prohibited Conduct

  • You may not use yundadesk to send, store or distribute unlawful, fraudulent, harassing, spam, malicious, infringing, obscene, discriminatory, security-threatening or channel-policy-violating content.
  • You may not reverse engineer, crack, bypass restrictions, scrape at scale, attack, scan without authorization, interfere with the services, abuse APIs, share accounts with unrelated parties or use abnormal methods to consume system resources.
  • You are responsible for ensuring that customer conversations, contacts, orders, materials, knowledge bases, marketing content, automation rules and third-party data have lawful sources, necessary authorization and compliant purposes.
  • If you violate these Terms or use the services for unlawful, unauthorized or high-risk purposes, we may issue warnings, restrict features, suspend accounts, remove content, report to authorities or third-party platforms, pursue breach liability and require compensation for losses.

3. Fees

  • Some yundadesk features are free and some require payment. Plan pricing, activation time, billing cycles, payment methods, overage charges, add-ons, implementation services and invoicing follow the product page, admin prompt, order form, quotation or written agreement.
  • We may provide free trials, experience plans or limited-time offers. Trial benefits, periods, features, usage limits and whether a trial converts to a paid subscription are subject to the relevant page prompt, order or confirmed arrangement.
  • If you choose paid subscriptions, auto-renewal or add-on services, you agree to pay the applicable fees. If payment is overdue or fails, we may restrict, suspend or terminate some or all services and reserve the right to collect outstanding amounts.
  • We may adjust prices, plans and billing methods for product, cost, channel-rule or business reasons and notify you through the website, admin console, email or other reasonable methods. If you disagree, you may cancel future subscriptions before the adjustment takes effect.

4. Refund Policy

  • yundadesk software systems, cloud services, subscriptions, channels, seats, AI credits, implementation, training and custom development are digital services or virtual entitlements. Once activated, delivered or consumed, they are generally not refundable unless required by law or separately agreed in writing.
  • Before purchase, you should fully understand product features, plan benefits, use cases, pricing, usage limits, third-party channel rules and renewal methods, and choose services based on your business needs.
  • Partial-month non-use, voluntary discontinuation, upgrades or downgrades, channel bans, third-party policy changes, configuration errors, failure to cancel auto-renewal or unused activated entitlements generally do not create refunds or credits.
  • If you have questions about orders, charges or services, contact the yundadesk team through the website. We will handle them based on order status, actual usage, legal requirements and agreed terms.

5. Terms and Termination

  • These Terms take effect when you click to agree, register, log in, download, install, access or use yundadesk, and remain effective until terminated by either party according to these Terms or law.
  • If you violate these Terms, fail to pay, create security risks, infringe third-party rights, violate third-party platform policies or break applicable law, we may issue warnings, restrict features, suspend accounts or channels, remove unlawful content or terminate services.
  • You may stop using the services, cancel a subscription or request account closure according to the product page or contract. Before closure, you should export data you need and properly handle customer communications and authorizations.
  • After termination, we will process or delete relevant data according to law, contract terms, backup cycles, security audit needs and dispute resolution requirements. Payment obligations, confidentiality, intellectual property, liability limits and dispute resolution provisions survive termination.

6. Intellectual Property

  • The software, code, APIs, documentation, page design, icons, logos, trademarks, product names, service flows, technical solutions and other intellectual property of yundadesk are owned by yundadesk or relevant rights holders.
  • Without our written consent, you may not copy, modify, translate, rent, sell, transfer, sublicense, decompile, reverse engineer or otherwise exploit protected yundadesk materials.
  • You may not upload, send or distribute through yundadesk any content that infringes third-party copyright, trademark, patent, trade secret, portrait, reputation, privacy or other lawful rights.
  • You retain lawful rights in your customer data, conversations, knowledge base materials, product information, brand assets and business configurations, while granting us a limited license to process them as needed to provide, maintain, protect and improve the services.

7. Confidentiality and Feedback

  • We process personal information and business data according to the Privacy Policy and use reasonable technical and organizational safeguards. As controller or provider of business data, you are responsible for notices, consent, cross-border transfers, retention and deletion obligations toward customers, visitors, employees, agents or end users.
  • Non-public business information, technical information, pricing information, customer data, product plans, interface documents, account credentials and other information reasonably understood as confidential are subject to confidentiality obligations.
  • Feedback, suggestions, requests, questions, reviews or improvement ideas you provide may be used by us to optimize products and services, provided that we do not disclose your confidential information.

8. Disclaimer

  • To the extent permitted by law, yundadesk services are provided as is and as available. We do not guarantee that the services are error-free, uninterrupted, risk-free, or that they will meet every business, revenue, conversion or compliance objective.
  • You should independently evaluate the suitability of yundadesk for customer communication, marketing outreach, AI outputs, channel authorization, data sync and third-party services, and take necessary backups, manual review, permission controls and risk mitigation measures.
  • We are not responsible beyond applicable law or explicit contract terms for losses caused by force majeure, base networks, telecom providers, third-party platforms, third-party APIs, browser or device compatibility, user misconfiguration, stolen accounts, unlawful use, customer complaints, policy changes or causes outside our reasonable control.
  • To the maximum extent permitted by law, we are not liable for indirect losses, lost profits, loss of goodwill, business interruption, data loss, substitute service costs or third-party claims.

9. Third-Party Services

  • yundadesk may include or connect to third-party websites, applications, content, products, services, SDKs, APIs, payments, cloud services, AI models, social media or messaging channels. These services are independently operated by their providers.
  • Third-party account reviews, API changes, availability, fees, policies, message templates, risk controls, bans, data processing rules and outages are not fully controlled by yundadesk.
  • You should independently evaluate the truthfulness, legality and validity of third-party services, content, functions, products and rules, and comply with their service terms, privacy policies, business messaging rules and industry standards.
  • AI outputs may be inaccurate, incomplete or unsuitable for a specific situation. You should review AI-generated content, automated replies, translations, marketing suggestions and knowledge citations, and you are responsible for the final content sent or adopted.

10. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of mainland China, excluding conflict-of-law rules, unless mandatory law or a separate written agreement provides otherwise.
  • If you use a version for markets outside mainland China or we have a separate international business arrangement, the order, contract or addendum may specify governing law, arbitration venue or dispute resolution rules.
  • Disputes should first be resolved through friendly negotiation; if negotiation fails, either party may submit the dispute to a competent court where the yundadesk service provider is located.

11. App and Device Permissions

  • When you use the web app, mobile app, desktop app, browser extension or other clients, some features may require access to notifications, camera, microphone, photos, files, clipboard, network status, local storage or system push capabilities.
  • We call device permissions only as needed for the corresponding feature, such as sending attachments, uploading images, receiving message alerts, saving login state or syncing local cache. You may disable permissions in system settings, but some features may stop working.
  • Client features may vary by operating system, device model, app store review, third-party SDK or network environment. You should keep official versions updated to receive security patches and feature improvements.

12. Channel Authorization and Messaging Rules

  • When connecting WhatsApp, Facebook, Instagram, Telegram, LINE, email, website chat or other channels, you must ensure that accounts, stores, pages, numbers, mailboxes, domains, templates, materials and recipients are lawfully authorized.
  • You must comply with channel rules on business messages, template review, opt-in, opt-out, frequency limits, bulk sending, marketing content, user complaints and data use. Restrictions, bans, charges or takedowns caused by complaints, risk controls, failed reviews or policy violations are your responsibility.
  • Based on platform safety, channel rules, user complaints, abnormal sending or compliance risks, yundadesk may throttle, suspend, review or terminate message sending, template calls, automation tasks or channel connections.

13. APIs, Plugins and Developer Use

  • If you use yundadesk APIs, webhooks, plugins, SDKs, open interfaces or third-party integrations, you must follow the relevant technical documentation, rate limits, permission scopes, authentication methods and security requirements.
  • You may not use interfaces to bulk export unauthorized data, bypass plan limits, attack systems, forge requests, leak keys, share tokens or affect service stability and other users' rights.
  • You are responsible for safeguarding API keys, webhook secrets, callback URLs and integration credentials. Data leakage, mis-sent messages, fee losses or service failures caused by credential leakage, configuration errors, third-party vulnerabilities or developer code are your responsibility.

14. User Content and Review

  • Text, images, audio, video, files, links, product information, knowledge bases, automation rules and marketing materials that you upload, send, store, import or sync through yundadesk are user content.
  • You represent that user content does not infringe any third-party intellectual property, portrait rights, reputation rights, trade secrets, privacy rights or other lawful rights, and that you have obtained necessary authorization.
  • We generally do not proactively review all user content. However, upon complaints, regulatory requests, channel notices, risk-control hits or obvious unlawful risks, we may block, delete, restrict sending, suspend accounts, preserve evidence or report to relevant authorities as required by law.

15. Service Levels, Maintenance and Support

  • We provide technical support, implementation assistance, troubleshooting and service response according to the plan, order or solution package. Free, trial or beta features may not include formal service-level commitments.
  • To protect security and stability, we may perform routine maintenance, upgrades, migration, capacity adjustments or emergency fixes, and will use reasonable efforts to notify you in advance when maintenance may affect use.
  • Short-term unavailability caused by maintenance, upgrades, third-party failures, network fluctuations, security incident handling or force majeure will be restored with reasonable efforts, but does not automatically create compensation for all business losses.

16. Export Control and Compliance Use

  • You agree not to use yundadesk in violation of applicable export controls, economic sanctions, anti-money-laundering, anti-bribery, anti-spam, consumer protection, data protection and cybersecurity laws.
  • You may not use yundadesk for restricted countries or regions, sanctioned parties, unlawful transactions, fraud, false identities, malicious marketing, gambling, illegal finance, intellectual property infringement or other high-risk scenarios.
  • If we reasonably believe your use creates compliance risks, we may require explanations, qualifications, authorizations or remediation measures, and may restrict or suspend relevant services until risks are resolved.

17. Assignment, Subcontracting and Affiliates

  • Without our written consent, you may not assign, rent, lend, sell or provide to unrelated third parties your account, contractual rights, plans, channel authorization, API permissions or obligations under these Terms.
  • To provide the services, we may entrust affiliates, cloud providers, technical service providers, channel partners, payment providers and support providers with parts of the services, and require them to follow security and confidentiality obligations.
  • If yundadesk undergoes a merger, separation, asset transfer, business reorganization or change of control, rights and obligations under these Terms may be transferred with the relevant business, and we will notify you as required by law.

18. Miscellaneous

  • If any provision of these Terms is found invalid, unlawful or unenforceable, the remaining provisions remain effective, and the parties should replace it with a lawful and enforceable provision closest to the original intent.
  • Our failure to immediately exercise a right under these Terms is not a waiver of that right. Waiver of one breach is not a waiver of later or similar breaches.
  • Section headings are for convenience only and do not affect interpretation. If the Chinese version conflicts with another language version, the Chinese version controls unless separately agreed in writing.
